1. Who We Are

IRS Notice Responder ("we," "our," or "us") is operated by IRS Responder("Seller"). These Terms & Conditions ("Terms") govern your access to and use of our website, software, and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

2. Acceptance of Terms

By creating an account, uploading a notice, or otherwise using the Service, you confirm that you accept these Terms and agree to comply with them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, you must not use the Service.

3. The Service

The Service helps users understand IRS notices and generate draft response letters using automated analysis (including AI). The Service is provided for informational and drafting assistance purposes only and is not a substitute for professional tax, legal, or accounting advice. You are responsible for reviewing all output before submitting anything to the IRS.

4. Acceptable Use / Misuse

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law;
• Submit fraudulent, misleading, or third-party documents you have no right to use;
• Spam, harass, or send unsolicited communications through the Service;
• Infringe any intellectual property or privacy right;
• Interfere with security, probe, scan, scrape, or attempt to bypass technical limits;
• Upload malware or attempt to gain unauthorized access to the Service or other users' data.

5. Account & Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it current.

6. Intellectual Property

The Service, including all software, content, branding, designs, and documentation, is and remains the property of the Seller and its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service for its intended purpose within your selected plan. You may not reverse engineer, resell, redistribute, or circumvent technical limitations.

7. User Content

You retain ownership of notices and other content you upload. You grant us a limited license to host, process, and analyze that content solely to provide the Service to you.

8. Service Level

We work to keep the Service available and reliable, but we do not warrant that it will be uninterrupted, error-free, or that AI-generated output will be complete or accurate. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Payment & Subscription Terms

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscription plans renew automatically until cancelled. See our Refund Policy for refund details.

10. Suspension & Termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. On termination, your right to use the Service ends immediately; you may request export of your data within a reasonable window before deletion.

11. Limitation of Liability

To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, incidental, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold the Seller harmless from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

13. Changes to the Terms

We may update these Terms from time to time. Material changes will be posted here with an updated "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the Seller's jurisdiction, without regard to its conflict of laws principles. Disputes will be resolved in the courts of that jurisdiction.
